Welcome to kinovi.ai (the "Application"). Please read carefully these Terms of Use ("Terms") and our Privacy Policy (https://www.kinovi.ai/privacy-policy) before using the services offered by Kinovi.

Kinovi is operated by Vixion Technology Limited, a company registered in the Hong Kong Special Administrative Region (HKSAR). References to "we", "us", or "our" in these Terms refer to Vixion Technology Limited.

1. Description of Services

1.1 Service

Kinovi is an online platform that provides AI-powered video and image generation services ("Services"). You may use Kinovi immediately with registration. To begin with, You may upload a photo, image, GIF or video from your device ("Uploaded materials") for AI-powered processing, and then upload content in the supported format and file size ("Uploaded content"). After that, You can click the generating button "[Create]" or any other similar option. Our artificial intelligence algorithms process your content and generate new AI-created content ("Created content"). Please note that some functions above may be limited if you are not a paid subscriber.

1.2 Registration

We retain the right to provide some services only for paid subscribers. The subscription begins after the initial payment, which should be performed via the method and in the amount indicated at the time of purchase. You are responsible for payment of all fees, charges, and taxes (if required by law) related to the transaction. We are not responsible for any costs or liability arising from actions related to downloading the App from non-recognized platforms.

2. Legal Capacity

You understand and warrant that: If you are entering into this TOS on behalf of another person, you are duly authorized by such person to enter into this TOS. You are of legal age to form a binding contract with us. If under the legal age, you shall access or use our Services under the supervision of a parent or legal guardian. You are not barred from subscribing to, using, or accessing the App under the laws of the Hong Kong Special Administrative Region (HKSAR) or other applicable jurisdictions.

3. Content

3.1 Intellectual Property

We reserve all rights, title, and interest in the App and its technology, systems, and software. You retain all intellectual property rights in the materials and content you upload to the App, including modified or processed content.

3.2 License

You grant us an irrevocable, worldwide, non-exclusive, royalty-free, sublicensable, assignable right to use any content uploaded to the App for functionality purposes. You warrant that your content does not infringe on any third-party rights.

4. Virtual Credits

4.1 Nature of Credits

Credits are virtual items used to access AI generation services on the Platform. You acknowledge and agree that:

  • Credits are not money and have no cash value.
  • Credits cannot be exchanged, sold, transferred, or redeemed for cash or any other monetary value.
  • Credits are for personal use only and cannot be transferred to other users.
  • Credits exist only within the Platform and have no value outside the Platform.

4.2 Earning Credits

You may earn Credits through the following methods:

4.2.1 Sign-Up Bonus (Free Users Only)

  • New users receive 200 Credits upon first registration or visit.
  • This is a one-time bonus and cannot be claimed multiple times.

4.2.2 Daily Check-In (Free Users Only)

  • Free users may claim 5 Credits per day through the daily check-in feature.
  • Check-in Credits must be claimed manually each day and do not accumulate if not claimed.
  • This benefit is available only to users who have not purchased any Credit packages.

4.2.3 Credit Purchases

  • Credits can be purchased through various packages as listed on our pricing page.
  • All purchases are processed through our authorized payment partners.
  • Payment methods and pricing are subject to change without prior notice.

4.2.4 Promotional Credits

  • We may occasionally offer promotional Credits through marketing campaigns, referral programs, or special events.
  • Promotional Credits may have expiration dates, which will be clearly indicated at the time of issuance.
  • We reserve the right to modify or terminate promotional programs at any time.

4.3 Credits Expiration

4.3.1 Purchased Credits

  • Credits obtained through direct purchase never expire during normal service operation.
  • Purchased Credits remain valid as long as the Platform is operational.

4.3.2 Free Credits (Sign-Up & Daily Check-In)

  • Sign-up bonus Credits never expire during normal service operation.
  • Daily check-in Credits never expire during normal service operation.
  • Free Credits cannot be accumulated beyond the limits specified in Section 4.2.

4.3.3 Promotional Credits

  • Promotional Credits may have specific expiration dates.
  • Any expiration dates will be clearly displayed in your account and at the time of issuance.
  • We will provide advance notice before promotional Credits expire when technically feasible.

4.4 Credit Usage

4.4.1 Consumption

  • Credits are consumed when you generate AI-powered images, videos, or other content.
  • Credit costs vary by feature and are displayed before each generation.
  • Once consumed, Credits cannot be refunded or restored, except as required by applicable law.

4.4.2 Priority Deduction

When consuming Credits, the system will automatically deduct in the following order: 1. Promotional Credits with the earliest expiration date (if any) 2. Regular Credits (purchased or free) on a first-in, first-out (FIFO) basis

4.5 Service Termination and Credits Forfeiture

4.5.1 Platform Closure

We reserve the right to suspend, discontinue, or terminate the Platform at any time for any reason. In the event of Platform closure:

  • All Credits (purchased, free, and promotional) will become invalid and unusable.
  • No refunds will be issued for unused Credits, except as required by applicable law.
  • We will make reasonable efforts to provide 30 days' advance notice when possible, but this is not guaranteed.
  • We are not liable for any loss of Credits or inability to use the Platform due to service termination.

4.5.2 Account Termination

Your account and all associated Credits will be forfeited immediately if:

  • You violate these Terms of Service.
  • You engage in fraudulent, abusive, or illegal activity.
  • You attempt to manipulate, exploit, or circumvent the Credit system.
  • You breach any other provision of this Agreement.

Upon account termination: - All Credits will be forfeited without refund. - You will lose access to all content, data, and services. - We reserve the right to pursue legal remedies for violations.

4.5.3 Force Majeure

We are not liable for service interruption or Credit loss due to:

  • Natural disasters, war, terrorism, or civil unrest.
  • Government regulations, legal requirements, or court orders.
  • Technical failures, cyber-attacks, or infrastructure issues beyond our reasonable control.
  • Any other events constituting force majeure under applicable law.

4.6 No Refunds

4.6.1 General Policy

  • All Credit purchases are final and non-refundable, except as required by applicable law or as expressly stated in this Agreement.
  • We do not provide refunds for unused Credits, partially used packages, or dissatisfaction with generated content.

4.6.2 Exceptions

Refunds may be issued at our sole discretion in the following circumstances:

  • Technical errors that prevent Credit usage after purchase.
  • Duplicate charges or billing errors.
  • Service failures that prevent content generation.
  • As required by applicable consumer protection laws.

4.7 Modifications to Credit System

We reserve the right to modify the Credit system at any time, including but not limited to:

  • Changing Credit pricing and package structures.
  • Modifying Credit earning mechanisms (sign-up bonus, daily check-in, etc.).
  • Adjusting Credit costs for specific features.
  • Introducing new Credit types or categories.

We will provide reasonable notice of material changes that negatively affect existing Credits. Continued use of the Platform after such changes constitutes acceptance of the modifications.

4.8 Prohibited Activities

You agree not to:

  • Sell, trade, or transfer Credits to third parties.
  • Use multiple accounts to claim sign-up bonuses repeatedly.
  • Employ bots, scripts, or automated tools to claim daily check-in Credits.
  • Exploit bugs, glitches, or vulnerabilities in the Credit system.
  • Engage in fraudulent payment methods or chargebacks.
  • Share account credentials to allow others to use your Credits.

Violation of these prohibitions may result in immediate account termination and forfeiture of all Credits without refund.

4.9 Acknowledgment

By purchasing or using Credits, you acknowledge that you have read, understood, and agree to this Virtual Credits section. You specifically acknowledge that:

  • Credits have no monetary value and cannot be redeemed for cash.
  • All Credit purchases are final and non-refundable.
  • Credits will be forfeited upon Platform closure or account termination.
  • We may modify the Credit system with reasonable notice.

5. Restrictions of Conduct and Content

5.1 General Restrictions

You agree not to:

  • Modify, translate, adapt or reformat the App.
  • Reverse-engineer, decipher, decompile, or disassemble the App.
  • Interfere with any security features or access restrictions.
  • Use the App to gain unauthorized access to data, systems, or networks.
  • Use the App in a manner that could damage or impair our systems.
  • Remove or obscure any proprietary rights notices in the App.
  • Comply with all applicable laws when using the App.

5.2 Content Restrictions (Acceptable Use Policy)

You agree not to upload, generate, or share content that is:

  • Sexually explicit, nude, or NSFW — including but not limited to pornographic imagery, nudity, sexually suggestive poses, undressing, or any other sexually explicit material.
  • Unlawful, harmful, defamatory, obscene, or otherwise objectionable.
  • Encourages criminal offenses or violates any party's rights.
  • Infringes on intellectual property rights.
  • Contains unsolicited promotions or political campaigns.
  • Includes private information without consent.
  • Harmful to children or contains inappropriate content, including any depiction of minors in sexual or suggestive contexts.
  • Contains viruses or harmful code.
  • In violation of laws or contractual relationships.
  • Depicting violence, gore, or graphic content intended to shock or disturb.

We actively moderate content generated on our platform. Violations of this Acceptable Use Policy may result in immediate account termination and forfeiture of all Credits without refund. We reserve the right to remove any content that violates these provisions.

6. Claims of Infringement

6.1 Copyright

If you believe that materials transmitted through the App infringe on your copyright, you can request removal by providing:

  • An electronic or physical signature.
  • Description of the copyrighted work.
  • Your contact information.
  • A good-faith statement that the use is unauthorized.
  • A statement made under penalty of perjury regarding the accuracy of the information.

6.2 Other Rights

For infringements of other rights, provide relevant information in writing when contacting us.

We may suspend or terminate use of the App for repeated infringements.

7. Indemnification

You agree to indemnify and hold us harmless from any loss, costs, liabilities, and expenses resulting from your breach of this TOS or infringement of any third-party rights.

8. Disclaimers; Limitation of Liability

The App is provided on an "as-is" and "as available" basis. We disclaim all warranties and representations regarding the App. We are not liable for any damages resulting from your use or inability to use the App. Our aggregate liability is limited to the greatest extent permitted by law.

9. Links to Third-Party Websites and Services

We are not responsible for any content, goods, or services available through third-party websites and services linked to the App.

10. Governing Law; Dispute Resolution

This TOS is governed by the laws of the Hong Kong Special Administrative Region (HKSAR). Any disputes shall be resolved by the courts of HKSAR.

11. Changes to this TOS

We reserve the right to update this TOS and will notify you of changes by making the revised TOS accessible through the App. Continued use of the App indicates agreement to the changes.

12. Termination; Assignment

12.1 Termination

This TOS remains effective until terminated by you or us. You may terminate by ceasing use of the App. We may terminate for any reason, with or without notice. Certain sections will survive termination.

12.2 Assignment

We reserve the right to assign, transfer, or subcontract the Services to third parties, and your continued use means consent to such assignment.

13. Miscellaneous

13.1 Validity

If any provision is found to be unenforceable, the remaining provisions remain valid.

13.2 Entire Agreement

This TOS, together with the Privacy Policy, constitutes the entire agreement and supersedes prior agreements.

13.3 Data Processing

We will collect and process your information according to the Privacy Policy.

14. Third-Party AI Models and Disclaimer

14.1 Nature of Services

Kinovi provides a user-friendly interface built on top of third-party AI models to enhance usability and provide additional features such as content moderation, credit management, and workflow optimization. We are an independent service and not affiliated with the AI model providers.

14.2 No Affiliation

This platform is an independent product and is not affiliated with, endorsed by, or sponsored by any AI model creators or providers, including but not limited to Google, OpenAI, Stability AI, or any other third-party AI company. Any references to third-party AI models on our platform are for informational purposes only.

14.3 Content Moderation

We implement content safety filters and moderation systems to ensure compliance with our Acceptable Use Policy (Section 5.2). All content generated through our platform is subject to automated and manual review. We reserve the right to reject, remove, or flag any content that violates our policies.
